Terms of Service

1. BINDING AGREEMENT

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Base Unit LLC, a Wyoming limited liability company (“Base Unit”, “we”, “us”, or “our”). These Terms govern your access to and use of our websites, applications, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

2. INTELLECTUAL PROPERTY

All content, features, and functionality—including but not limited to software code, UI/UX designs, logos, and trademarks (including "CostGuard" and "SnapSwipe")—are the exclusive property of Base Unit LLC. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes. Any unauthorized reproduction, modification, or reverse engineering is strictly prohibited.

3. THIRD-PARTY SERVICES

Certain Services may integrate with third-party providers (e.g., Plaid Inc. for financial data). Your use of those specific features is also subject to the terms and conditions of those third parties. Base Unit LLC is not responsible for the performance or policies of third-party services.

4. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BASE UNIT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASE UNIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. INDEMNIFICATION

You agree to indemnify and hold harmless Base Unit LLC and its officers from any claims, damages, or expenses arising from your use of the Services or your violation of these Terms.

7. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of the State of Wyoming, USA. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Wyoming, and the parties hereby consent to personal jurisdiction and venue therein.
